Reservation Conditions

The conditions that apply to the $5,000 refundable reservation deposit for a hosted software payload slot on Blackwing Space's orbital software demonstration mission.

Blackwing Space, Inc. · Last updated August 30, 2026

1. What this is

These Reservation Conditions govern the refundable early-bird reservation deposit for one hosted software payload slot on Blackwing Space's shared orbital software demonstration mission. A reservation is not a definitive payload agreement, does not guarantee acceptance onto the mission, and does not guarantee flight.

2. The reservation

The reservation deposit is $5,000 per slot, processed securely by Stripe. The mission will accommodate a limited number of hosted payload slots, and reservations are considered in the order they are received. Placing a reservation secures your place in that line and begins technical qualification of your proposed workload; waiting to reserve means any slots remaining are allocated to reservations already ahead of yours.

3. Refundability

The deposit is fully refundable on request until both (a) technical acceptance of your payload and (b) execution of the definitive payload agreement have occurred. After that point, the deposit is credited toward the mission price and is governed by the definitive payload agreement. To request a refund, email hello@blackwingspace.com; refunds are issued to the original payment method.

4. Technical qualification

Blackwing Space and its mission partners will review your proposed workload for technical compatibility with the mission, including resource requirements, software architecture, security, schedule readiness, and regulatory considerations. Blackwing Space may accept or decline any reservation at its discretion; if your reservation is declined, your deposit is refunded in full.

5. Mission price

The price of a hosted software payload slot is $20,000. Upon technical acceptance and execution of the definitive payload agreement, your reservation deposit is applied toward this price. All remaining commercial terms (scope, allocations, acceptance criteria, data rights, refund rights after acceptance, reflight options, and liability allocation) are set out in the definitive payload agreement.

6. Schedule

The mission is targeted for a Q3 2027 launch. The launch date and mission schedule are subject to change and depend on launch-provider availability, spacecraft integration, regulatory requirements, and mission readiness. Schedule changes do not affect the refund rights described in Section 3. If you are unable to deliver flight-ready software in time for this mission, your deposit may be applied toward a future Blackwing software mission.

7. Experimental mission

This is an experimental orbital technology demonstration. Launch, deployment, commissioning, uninterrupted operation, execution of any particular workload, and delivery of any particular data product cannot be guaranteed.

8. Definitive agreement controls

If and when a definitive payload agreement is executed between you and Blackwing Space, that agreement supersedes these Reservation Conditions.

9. General

These Reservation Conditions are governed by the laws of the State of Tennessee, without regard to conflict-of-laws principles. Questions: hello@blackwingspace.com.
